In-Office Expectations: This is a hybrid role. We expect team members to be in the office on Tuesdays, Wednesdays, and Thursdays to support collaboration, deal work, and team connection. Mondays and Fridays are intentionally flexible and may be worked remotely, subject to client needs, deal timelines, and occasional exceptions.
Overview: Fourscore Business Law is seeking a Corporate Attorney with a broad business law background who enjoys working alongside entrepreneurs and business owners as they start, grow, buy, sell, and transition their businesses. The ideal candidate is energized by the opportunity to work on a variety of corporate, transactional, and strategic matters while building long-term client relationships.
This attorney will work closely with the founder/lead attorney. In addition to providing exceptional legal counsel, this individual will help manage priorities, oversee legal projects, coordinate resources across the team, and take ownership of initiatives that support the firm's continued growth and success.
This role is ideal for an attorney who enjoys both practicing law and managing complex projects. The successful candidate will help coordinate transactions, allocate resources, drive execution, and ensure client matters move efficiently from strategy through closing.

We work primarily with closely held and founder-led businesses and handle a mix of buy-side and sell-side transactions across a range of industries. In addition, we serve as outside general counsel to many business owners, which creates meaningful opportunities to integrate corporate work with estate and succession planning.

Key Responsibilities
- Counsel clients on entity formation, governance, corporate maintenance, and business operations
- Draft, review, and negotiate transaction documents, including asset and stock purchase agreements, disclosure schedules, and ancillary agreements
- Coordinate with opposing counsel, lenders, accountants, investment bankers, and internal team members to move transactions forward efficiently
- Advise business owners on deal structure, risk allocation, and post-closing considerations
- Provide ongoing general corporate counsel to closely held businesses
- Collaborate with our estate planning team on succession planning and business-owner-focused estate planning matters
- Manage client matters from strategy through execution, ensuring deadlines, deliverables, and client expectations are met
- Oversee project management for legal matters, ensuring work is completed efficiently, accurately, and on schedule
- Coordinate and, where appropriate, delegate work among attorneys and paralegals to ensure matters are staffed and executed efficiently
- Work closely with the founder/lead attorney to manage priorities, advance key initiatives, and help create capacity for the founder to focus on strategic growth initiatives
- Build and maintain strong client relationships through proactive communication and practical, business-minded legal advice
Required Qualifications
- JD from an accredited law school
- Active license in at least one U.S. jurisdiction (North Carolina preferred)
- 4+ years of meaningful M&A experience, including primary responsibility for transactions
- Experience handling both buy-side and sell-side deals
- Strong drafting, negotiation, and project management skills
- Ability to manage multiple matters and deadlines with minimal oversight
- Excellent communication skills and comfort working directly with business-owner clients
Preferred Qualifications
- Experience representing closely held or founder-led businesses
- Exposure to or strong interest in estate planning and business succession planning
- Familiarity with SBA-financed transactions
- Background in serving as outside general counsel
- Desire to help build systems, mentor team members, and grow with the firm
- Experience managing or coordinating legal teams, workflows, or complex client matters involving multiple stakeholders
Work Structure & Flexibility
- Core in-office collaboration days: Tuesday, Wednesday, Thursday
- Flexibility on Mondays and Fridays, including remote work, adjusted hours, or focused deep-work time
- Understanding that transactional work sometimes requires schedule adaptability around closings and client demands
